Welcome to Freelance OS. These Terms of Use ("Terms") are a legal agreement between Creative Layer Inc. ("Freelance OS", "we", "us", or "our") and you, governing your access to and use of our platform, located at freelanceos.ai and its subdomains.

Please read these Terms carefully. By clicking "Sign Up," "I Agree," or by otherwise accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Acceptance of Terms

By using Freelance OS, you agree to comply with all applicable laws and regulations. You represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using Freelance OS on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Freelance OS provides an AI-powered suite of tools designed to streamline the workflow of independent professionals ("Services"). These Services include:

  • Project Discovery & Management: AI-driven job searching and project organization.
  • Financial Tools: Automated invoicing, expense tracking, and billing management.
  • Legal & Compliance: Contract generation and legal template management.
  • AI Workspace: Advanced AI assistance for research, content creation, and workflow automation.

3. Account Registration & Security

3.1 Account Creation

To use Freelance OS, you must create a user account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Responsibility for Account

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials (username and password).
  • All activities and actions that occur under your account.
  • Implementing reasonable security measures to prevent unauthorized access.

3.3 Unauthorized Use

You must notify Freelance OS immediately at security@freelanceos.ai of any unauthorized use or security breach of your account. We will not be liable for any loss or damage arising from your failure to comply with this section.

4. Fees, Payments, and Subscriptions

4.1 Subscription Tiers

We offer various subscription plans (e.g., Free, Pro, Team). Details of the features and pricing for each tier are available on our Pricing Page.

4.2 Billing and Renewal

  • Recurring Billing: Subscription fees are billed in advance on a recurring monthly or annual basis.
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings.
  • Payment Processing: We use Stripe for payment processing. By providing payment information, you authorize us to charge the applicable fees via Stripe.

4.3 Refunds

Except as required by law, subscription fees are non-refundable. We do not provide credits or refunds for partial months of service or unused features.

5. Acceptable Use Policy

You agree not to use the Services for any of the following prohibited purposes:

  1. Illegal Conduct: Violating any local, state, national, or international law.
  2. Infringement: Infringing upon the intellectual property rights of others.
  3. Malicious Activity: Distributing viruses, worms, or any software intended to damage or hijack hardware or data.
  4. Data Mining: Using automated systems (bots, spiders, scrapers) to extract data from the platform without authorization.
  5. Generative Model Abuse: Using the AI tools to generate hate speech, harassment, or misinformation.

6. Artificial Intelligence and Content

6.1 Nature of AI Outputs

Freelance OS utilizes advanced AI models (via OpenAI, Anthropic, and other providers). AI-generated content is for informational purposes and may contain inaccuracies. You are responsible for reviewing, editing, and verifying any AI-generated documents (e.g., contracts, invoices, resumes) before using them in a professional or legal capacity.

6.2 Ownership of Input Content

You retain all rights, title, and interest in the data and content you upload or input into the platform ("User Content").

6.3 License to Freelance OS

By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide, improve, and maintain the Services. We do not sell your content to third parties.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FREELANCE OS, CREATIVE LAYER INC., OR ITS EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FREELANCE OS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Freelance OS and its affiliates from and against any claims, liabilities, damages, and expenses (including attorneys' fees) arising out of your use of the Services or your violation of these Terms.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including your breach of these Terms. Upon termination, your right to use the Services will immediately cease.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
